The European Bank for Reconstruction and Development (EBRD) has recently finalized an investment agreement with Croatia’s Mplus Group (Meritus ulaganja d.d.). The agreement outlines an investment of €60 million into M Plus Croatia d.o.o., a key subsidiary responsible for consolidating various businesses within the group’s business process outsourcing (BPO) segment. These services span across 57 markets.
The transaction involves the acquisition of newly issued shares, pending the necessary regulatory approvals. Upon completion, the EBRD is poised to secure a 28.3 percent stake in the company.
This capital increase represents a significant milestone, marking the EBRD’s largest equity investment in the technology services sector within the region. Furthermore, it stands out as one of the organization’s most substantial equity investments across various sectors in Croatia.
Our colleagues from Ilej & Partners, in cooperation with Karanovic & Partners, Senior Partner Goran Ilej and Senior Associate Nika Jurković, advised EBRD, alongside Dentons, their lead counsel.
