FORI Skupina d.o.o. has successfully completed the restructuring of its debt by obtaining new financing from fund AMC Capital IV Fortuna S.á. r.l. and refinancing debt towards, among others, Slovenian Bank Assets Management Company (BAMC) – recently merged with Slovenian Sovereign Holding (SSH) – as well as restructuring of its group by dividing its group companies into two divisions
FORI Group (Fomtech d.o.o., TT Okroglica d.d., Fori d.o.o., Fori Skupina d.o.o., Elvel d.o.o., and Emo-Tech d.o.o.) is an international automotive, cable, and home appliance industry supplier, with a diverse product range, including automotive program, technical textile division, and cable program, among others. It is a leading Southeast European producer, boasting a strong position in its niches, and serving clients in nearly 60 countries across four continents.
Our Partner Igor Angelovski and Senior Associate Nina Krajnc from Ketler & Partners, a member of Karanovic, advised FORI, in relation to all aspects of this complex restructuring and financing deal.
This included the restructuring of the textile division and acquiring a bank loan. namely the complete corporate and financial restructuring process by which FORI refinanced its debt towards several creditors, including both BAMC and SID Bank, with the support of financing provided by mezzanine partner ACP Group (via AMC Capital IV Fortuna S.á. r.l.). The process involved several jurisdictions, including Slovenia, Serbia, and China.
Our colleagues have advised FORI in the structuring process as well, including tax, performed legal and tax DD, and drafted necessary transactional documentation.
This restructuring, being one of the first major mezzanine financing deals in Slovenia, should allow FORI to continue developing and grow even further in the years to come.
